Terms of Service

"Platform" means the website at rentminder.ca, including all subdomains, mobile applications, and related services operated by RentMinder PEI Inc..

"User," "you," or "your" means any person who accesses, browses, registers for, or uses the Platform in any capacity, including landlords, tenants, and visitors.

"Content" means any text, data, photographs, images, video, audio, reviews, ratings, work orders, documents, listings, or other material submitted to, uploaded on, or transmitted through the Platform.

"We," "us," or "our" means RentMinder PEI Inc. and its officers, directors, employees, agents, and assigns.

By using the Platform you represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. You agree that your acceptance of these Terms is recorded electronically, including the date, time, and account identifier associated with your acceptance, and that such record constitutes a legally binding agreement.

We reserve the right to modify these Terms at any time. Continued use of the Platform following notice of changes (by email, in-app notification, or updated effective date) constitutes acceptance of the revised Terms.

User-Uploaded Content. By uploading, submitting, or otherwise providing any Content — including photographs, images, property descriptions, reviews, documents, or other materials — to the Platform, you hereby grant RentMinder PEI Inc. a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, display, and otherwise exploit such Content in any media or format, whether now known or hereafter developed, for any purpose related to the operation, promotion, or improvement of the Platform.

Photographs. All photographs uploaded to the Platform become the intellectual property of RentMinder PEI Inc. upon upload. You represent and warrant that you own or have all necessary rights to the photographs you upload, that the photographs do not infringe any third-party rights, and that you have the consent of any identifiable persons depicted. You waive any moral rights you may have in such photographs to the fullest extent permitted by law.

Your representations. You represent that all Content you submit is accurate, not misleading, and does not violate any applicable law, regulation, or third-party rights including copyright, trademark, privacy, or defamation laws.

Platform IP. All software, design, code, trademarks, trade names, service marks, logos, and other intellectual property on the Platform are owned by or licensed to RentMinder PEI Inc.. Nothing in these Terms grants you any right to use our intellectual property without our prior written consent.

No warranty of accuracy. The Platform aggregates data from multiple sources and relies on user-submitted information. RentMinder PEI Inc. makes no representation, warranty, or guarantee — express or implied — as to the accuracy, completeness, currentness, reliability, or quality of any listing, rent figure, landlord profile, review, score, neighbourhood data, school zone information, or any other information on the Platform.

Listing quality. We do not verify, inspect, or endorse any property listing or the condition of any rental unit. Information on the Platform is for general informational purposes only and does not constitute a representation about any property.

Third-party data. Walk Scores, transit scores, school information, and other third-party data are provided by external services. We are not responsible for errors or changes in such data.

Not legal or financial advice. Nothing on the Platform constitutes legal, financial, real estate, or regulatory advice. Rent increase calculations, IRAC guidelines, and dispute tools are provided for informational purposes only. Always consult a qualified professional for advice specific to your situation.

Third-party opinions. Reviews, ratings, and comments posted on the Platform represent the personal opinions of individual users only. They do not represent the views, opinions, or positions of RentMinder PEI Inc.. We do not endorse, verify, or take responsibility for any user-submitted review or opinion.

Review conduct. By submitting a review you confirm it reflects your genuine experience, is truthful to the best of your knowledge, and does not contain defamatory, harassing, discriminatory, or unlawful content. We reserve the right to remove any review at our sole discretion without notice.

Defamation. You acknowledge that you — not RentMinder PEI Inc. — are solely liable for the content of any review or opinion you submit. We operate as a passive host of user-generated content and are not the publisher of such content for purposes of defamation law.

Maximum liability. To the fullest extent permitted by applicable law, the total cumulative liability of RentMinder PEI Inc. and its officers, directors, employees, agents, licensors, and service providers to you for any and all claims arising out of or relating to your use of the Platform — whether in contract, tort, statute, or otherwise — shall not exceed the greater of: (a) the total fees actually paid by you to RentMinder PEI Inc. in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) twenty-five Canadian dollars (CAD $25.00).

No consequential damages. In no event shall RentMinder PEI Inc. be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or the cost of procuring substitute services, arising out of or in connection with these Terms or the Platform, even if advised of the possibility of such damages.

Essential basis. You acknowledge that the limitations of liability set out in this section reflect a fair allocation of risk and form an essential basis of the bargain between you and RentMinder PEI Inc.. The Platform would not be provided on the terms offered without these limitations.

You agree to defend, indemnify, and hold harmless RentMinder PEI Inc. and its officers, directors, employees, agents, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of or access to the Platform; (b) any Content you submit; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any third-party claim that your Content infringes or misappropriates their rights.

Account suspension and deletion. We reserve the right, at our sole and absolute discretion, to suspend, restrict, or permanently delete any user account at any time, with or without notice, and for any reason or no reason, including but not limited to violation of these Terms, suspected fraudulent activity, non-payment, or inactivity.

Effect of termination. Upon deletion or suspension of your account: (a) your right to access the Platform immediately ceases; (b) we may retain or delete your Content at our discretion; (c) any unused portion of a paid subscription is non-refundable except as required by applicable consumer protection law; and (d) these Terms survive to the extent necessary to enforce rights accrued prior to termination.

Your termination rights. You may close your account at any time by contacting us at team@rentminder.ca. If you have a recurring paid subscription, you can also cancel renewal through the Stripe billing portal linked from your account. Closing your account does not automatically entitle you to a refund.

Paid plans are billed in advance on a monthly or annual basis, or as a one-time payment, as selected at checkout. All prices are in Canadian dollars and are subject to applicable taxes. You authorize us to charge your payment method on the applicable billing cycle. Recurring subscriptions automatically renew unless cancelled before the renewal date through the billing portal or by contacting us. We reserve the right to change pricing on reasonable notice. Fees paid are non-refundable except as required by law or as expressly stated in our refund policy.

How it works. RentMinder PEI Inc. may operate a referral programme under which a registered user (the "Referrer") who shares a unique referral code receives a credit of twelve (12) months of Renter Pro access when a person referred by that code (the "Referred User") creates a new account and completes a first paid Pro subscription purchase. Credits are applied automatically to the Referrer's account and extend the existing Pro access period by twelve months from the then-current expiry date. Each Referred User may generate a credit for at most one Referrer. There is no limit on the number of separate referrals a single Referrer may earn over time.

No cash value. Referral credits have no monetary or cash value whatsoever. Credits are not currency, property, or a financial instrument of any kind. Credits may not be redeemed, exchanged, or converted into cash, cash equivalents, gift cards, bank transfers, or any other form of monetary compensation under any circumstances. Credits apply only toward extended access to the Renter Pro tier of the Platform and have no value outside that context.

Non-transferable. Referral credits are personal to the Referrer's account. They may not be sold, gifted, assigned, transferred, or otherwise conveyed to any other person or account. Any attempt to transfer credits is void and may result in revocation of the credits and suspension of the account.

Programme modification and termination. RentMinder PEI Inc. reserves the right, at its sole discretion and at any time, to modify, suspend, or permanently discontinue the referral programme, in whole or in part, with or without notice, and for any reason. This includes the right to change the credit amount, alter eligibility requirements, adjust how credits are earned or applied, or end the programme entirely. We will endeavour to provide reasonable advance notice of material changes where practicable, but are not obligated to do so.

Platform discontinuation — no compensation. If the Platform is discontinued, taken offline, wound down, or ceases operations for any reason — including but not limited to business closure, insolvency, regulatory action, or force majeure — all unused referral credits are immediately and irrevocably forfeited at the time of discontinuation. RentMinder PEI Inc. will not pay, reimburse, compensate, or provide any substitute benefit in respect of forfeited referral credits. You expressly acknowledge and agree that referral credits confer no right to compensation, damages, or any other remedy upon termination of the Platform or the referral programme. This forfeiture applies regardless of how the credits were earned, how recently they were earned, or how much time remained on any associated Pro access period.

Account closure. Referral credits are tied to your account. If your account is closed, suspended, or deleted — whether by you or by us — all unused referral credits associated with that account are immediately forfeited with no entitlement to compensation.

Fraud and abuse. Credits obtained through fraudulent, deceptive, or abusive means — including creating fictitious accounts, self-referral, using automated tools, or any scheme designed to circumvent the intent of the programme — will be revoked without notice. RentMinder PEI Inc. may also suspend or permanently ban accounts engaged in referral abuse. We reserve the right to determine, in our sole discretion, what constitutes abuse of the referral programme.

No guarantee of availability. The referral programme is offered as a gratuitous benefit and does not form part of any paid subscription contract. The existence of the programme at the time you refer a friend does not guarantee it will remain available by the time the Referred User completes a qualifying purchase.

You agree not to: (a) post false, misleading, or fraudulent Content; (b) impersonate any person or entity; (c) use the Platform to harass, defame, or discriminate against any person; (d) scrape, crawl, or systematically extract data from the Platform without our prior written consent; (e) attempt to circumvent any security measures; (f) use the Platform for any unlawful purpose; or (g) interfere with the proper functioning of the Platform.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

These Terms are governed by and construed in accordance with the laws of the Province of Prince Edward Island and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of Prince Edward Island for any dispute arising out of or relating to these Terms or the Platform. Any claim must be brought within one (1) year of the event giving rise to the claim, or it is permanently barred.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and RentMinder PEI Inc. with respect to the Platform and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
